Terms and Conditions

These Terms and Conditions ("Terms") govern your access to and use of NeuraUI and Neura Kit (Laravel) (the "Software"), provided at https://neuraui.dev by TechFly SARL ("Company", "we", "us").

By creating an account or purchasing a subscription, you ("User", "you") agree to these Terms. If you do not agree, do not use the Software.

2. Account Registration

To purchase a license, you must create an account.

You agree to:

  • Provide accurate and complete information
  • Maintain confidentiality of your credentials
  • Be responsible for activities under your account

We may suspend or terminate your account if you breach these Terms.

3. License Grant

Upon payment for an active annual subscription, we grant you a:

Limited, non-exclusive, non-transferable, non-sublicensable commercial license

This license allows you to:

  • Use NeuraUI in commercial and personal projects
  • Install the library via the official VCS repository provided by us

No ownership rights are transferred.

4. Restrictions

You may NOT:

  • Resell, sublicense, distribute, or transfer the library
  • Share repository access
  • Modify, fork, adapt, or create derivative works
  • Reverse engineer the software
  • Make the source code publicly available
  • Use the software after subscription expiration

Breach of these restrictions may result in immediate termination of your access without refund.

5. Subscription & Payments

NeuraUI is provided under a paid annual subscription model.

  • Subscription duration: 12 months
  • Automatic renewal every 12 months
  • Payments processed via Stripe
  • You may cancel at any time
  • Cancellation prevents future renewals only

Refunds

All payments are non-refundable. No refunds are given for partial subscription periods or after cancellation.

6. Intellectual Property

NeuraUI and all related materials are the exclusive property of TechFly SARL.

All rights not expressly granted are reserved.

7. Disclaimer of Warranties

NeuraUI is provided "AS IS" and "AS AVAILABLE".

We disclaim all warranties, including:

  • Fitness for a particular purpose
  • Merchantability
  • Non-infringement
  • Uninterrupted or error-free operation

8. Limitation of Liability

To the fullest extent permitted under French law:

We shall not be liable for:

  • Indirect, incidental, or consequential damages
  • Loss of profits, revenue, or data
  • Business interruption

Our total liability shall not exceed the amount you paid us in the 12 months preceding the claim.

9. Termination

We may terminate or suspend your access in case of:

  • Breach of these Terms
  • Fraudulent activity
  • Legal requirement

Upon termination, the license immediately ends.

10. Governing Law & Jurisdiction

These Terms are governed by the laws of France.

Any dispute shall be subject to the exclusive jurisdiction of the courts of Paris, France.

11. Modifications

We may update these Terms at any time. We will post the updated Terms on this page and update the effective date. Your continued use of the Software after changes constitutes acceptance of the updated Terms.
